1. Introduction

These Terms of Service (“Terms”) govern the use of the Schoolkit web platform (the “Platform”) which provides public websites and a content management system (CMS) to school districts and their schools. By using the Platform, you (“User,” “you”) agree to be bound by these Terms on behalf of your school or school district.

2. Access

  • The Platform is intended for authorized representatives of school districts and their schools.

3. User Obligations & Acceptable Use

  • You agree to use the Platform only for lawful purposes and in accordance with all applicable laws.
  • You must not:
    • Upload or distribute any unlawful, abusive, or obscene content.
    • Infringe on the copyright, trademark, or other rights of any person or entity.
    • Attempt to gain unauthorized access to the Platform or interfere with its operation.
  • School and district administrators are responsible for user activity under their accounts.

4. Intellectual Property & Content Ownership

  • Content created and/or uploaded by school or district users (“User Content”) remains the intellectual property of the respective organization.
  • You grant Schoolkit a non-exclusive, royalty-free license to host, display, and manage User Content solely for the purpose of operating and supporting the Platform.
  • Schoolkit retains all rights to our software, platform, and documentation, except for User Content.

5. Privacy & Data Protection

  • Schoolkit complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and all relevant Ontario and Canadian privacy laws.
  • Student and staff personal data is processed only as instructed by your organization and never sold or used for marketing.
  • Our Privacy Policy explains how we collect, use, and protect your data. By using the Platform, you agree to the Privacy Policy.

6. Service Availability & Updates

  • The Platform is provided “as-is” and “as-available.” While we strive for high uptime and prompt support, there may be interruptions for updates, maintenance, or unforeseen outages.
  • Schoolkit reserves the right to modify or discontinue features at any time with reasonable notice.

7. Limitations of Liability

  • Schoolkit is not liable for:
    • Indirect, incidental, or consequential damages.
    • Loss of data or business arising from use or inability to use the Platform.
  • School districts remain responsible for verifying content and managing organizational compliance.

8. Indemnification

You agree to indemnify and hold harmless Schoolkit, its officers, directors, and employees from any claims or damages resulting from your violation of these Terms or misuse of the Platform.

9. Termination & Suspension

  • Schoolkit may suspend or terminate Platform access for violation of these Terms or legal requirements.
  • School districts may only terminate their account in accordance with the terms of their SaaS agreement. Upon termination, we will delete or return user content in accordance with our data retention policy.

10. Changes on Terms

  • Schoolkit may update these Terms from time to time. Material changes will be communicated to registered administrative contacts.
  • Continued use of the Platform after changes indicates acceptance of the revised Terms.

11. Govering Law

These Terms are governed by the provincial laws of British Columbia.
